Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ProvenMap platform and services. By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using Our Service.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms of Service:

• Account means a unique account created for You to access our Service or parts of our Service.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Syntaxia App Platform Ltd., a company registered in the United Kingdom, operating the ProvenMap platform.
• Service refers to the ProvenMap platform, accessible from https://provenmap.com/
• Subscription means the paid access to the Service on a recurring basis (monthly or annual).
• Free Plan means the no-charge tier of the Service, subject to the limits shown on our pricing page.
• Contributor Seat means one paid place in Your organisation, as purchased through Your Subscription.
• Fair-Use Limit means an organisation-wide capacity limit applying to an allowance the Service describes as "unlimited", as published on our pricing page.
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
• Content refers to any data, text, information, or other materials uploaded, submitted, or displayed through the Service.
• Payment Processor refers to Stripe, Inc., which processes all payments for the Service.
• AI Models refers to large language models and related AI services that may be selected and configured by You within the Service, including third-party providers.

Account Terms

Account Registration

To use certain features of the Service, You must register for an account. When registering, You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update Your account information
• Keep Your password secure and confidential
• Accept responsibility for all activities under Your account
• Notify Us immediately of any unauthorized use

Account Requirements

• You must be at least 18 years old to create an account
• You must be a human; accounts registered by automated methods are not permitted
• You must provide a valid email address
• One person or legal entity may not maintain more than one free account

Subscription and Billing

Subscription Plans

We offer the following plans:

• Free Plan: No charge and no card, with the limits shown on our pricing page
• Pro Plan: For individuals or small teams (1–4 contributors)
• Team Plan: For teams of five or more contributors, with single sign-on
• Enterprise Plan: Custom terms agreed with Us

Payment Processing

All payments are processed by Stripe, Inc. ("Stripe"), our authorized payment processor. By subscribing to our Service:

• You agree to Stripe's terms of service and privacy policy
• Stripe will handle all payment processing
• Applicable taxes will be collected based on your location
• Your payment information is stored securely by Stripe, not by Us

Billing Cycles

• Monthly subscriptions are billed on the same date each month
• Annual subscriptions, where We have agreed one with You, are billed once per year on the terms of that agreement
• Billing begins when You subscribe to a paid plan

Price Changes

We reserve the right to modify subscription prices. Any price changes will:

• Be communicated to You at least 30 days in advance
• Take effect at the start of Your next billing cycle
• Not affect the current billing period

Refund and Cancellation Policy

Free Plan

The Free Plan lets You evaluate the Service for as long as You like, at no charge and with no card, before committing to a paid subscription. Only one Free Plan account per person or legal entity.

Refund Policy

Because the Free Plan lets You evaluate the Service before paying, our refund policy is as follows:

• Monthly subscriptions are not eligible for refunds. You may cancel at any time and will retain access until the end of Your current billing period.
• Annual subscriptions are available by arrangement only. Where We agree an annual subscription with You, its cancellation and refund terms are those set out in that agreement.
• We may issue a refund at Our discretion. Doing so in one case does not oblige Us to do so in another.

Your Rights as a Consumer

If You are a consumer — an individual acting wholly or mainly outside Your trade, business, craft or profession — You have statutory rights that these Terms do not remove.

In particular, You normally have 14 days from entering into the contract to cancel it. Where You have expressly asked Us to begin providing the Service during that period, and then cancel within it, You must pay for the Service supplied up to the point You cancel, in proportion to the full price of the billing period.

Nothing in this policy affects any right You have under mandatory consumer protection law. Where any part of this policy conflicts with such a right, that right prevails.

Most customers buy on behalf of a business and are not consumers. These rights apply only where You are.

Cancellation

You may cancel Your subscription at any time:

• Log into Your account and navigate to subscription settings
• Or contact us at contact@provenmap.com
• Upon cancellation, You will retain access until the end of Your current billing period

How to Request a Refund

Where a refund is due under this policy, under an agreement We have made with You, or under Your statutory rights:

• Include Your account email
• Refunds are typically processed within 5-10 business days

Acceptable Use

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for:

• Managing and documenting your software architecture
• Collaborating with your authorized team members
• Purposes consistent with the Service's intended functionality

Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful data
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, redistribute, or sublicense the Service without authorization
• Use the Service to infringe on intellectual property rights of others
• Harass, abuse, or harm other users

Fair-Use Limits

Allowances the Service describes as "unlimited" are not subject to a per-plan quota. They remain subject to Fair-Use Limits, which exist to protect shared platform capacity for all customers.

• A Fair-Use Limit applies to Your organisation as a whole, not to individual users.
• Each Fair-Use Limit starts at a figure set for the smallest team on Your plan and increases with each Contributor Seat You purchase, so a larger organisation is not held to a smaller organisation's limit.
• The figures in force for each plan are published on our pricing page.

If Your organisation reaches a Fair-Use Limit, We may decline to create additional resources of that type until the limit is raised or the matter is resolved with You. We will not delete, modify, or restrict access to Content You have already created, and reaching a Fair-Use Limit is not, by itself, a breach of these Terms.

We may adjust Fair-Use Limits. Where an adjustment would reduce a limit applying to Your organisation, We will communicate it to You at least 30 days in advance.

Intellectual Property

Our Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Syntaxia App Platform Ltd. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain all rights to the Content You upload to the Service. By uploading Content, You grant Us a limited license to:

• Store and backup Your Content
• Display Your Content to You and Your authorized team members
• Process Your Content to provide the Service features
• Process and transmit Content that You explicitly choose to share with conversational agents to AI Models You select and configure, solely to provide architecture analysis and related Service functionality

We do not claim ownership of Your Content and will not use it for purposes other than providing the Service.

AI Features and Third-Party Models

Customer-Controlled AI Model Usage

Certain features of the Service allow You to use conversational agents with AI Models. You control which supported AI Models are selected and configured in Your workspace.

Explicit Sharing

Content is sent to AI Models only when You explicitly choose to share that Content with conversational agents. Content is not automatically shared with AI Models.

Third-Party Providers

When You enable and use AI features, conversational agents may transmit Your selected Content to third-party AI providers (for example, OpenAI or Anthropic) solely to provide the requested functionality. Each provider's own terms and data policies govern how they handle submitted content. ProvenMap selects providers and API tiers that contractually exclude customer content from model training, but does not control third-party provider policies. You are responsible for reviewing the terms and data handling policies of any third-party AI model provider You choose to enable in Your workspace.

AI Output Disclaimer

AI-generated outputs may be incomplete or inaccurate and should be reviewed by You before use in production, operational, compliance, legal, or safety-critical decisions.

Service Availability

Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Circumstances beyond our reasonable control

Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. For significant changes:

• We will provide at least 30 days notice
• You may cancel Your subscription if You disagree with the changes

Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of Your transmissions or content
• The accuracy, completeness, or usefulness of any AI-generated outputs or analysis provided by the Service
• The data handling practices of third-party AI model providers You choose to enable

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

Liabilities We Do Not Exclude

Nothing in these Terms excludes or limits Our liability for death or personal injury caused by Our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law. Where You are a consumer, nothing in these Terms excludes or limits Our liability under the statutory guarantees that apply to services supplied to consumers.

The exclusions and the cap above apply only to the extent the law permits.

Termination

Termination by You

You may terminate Your account at any time by:

• Cancelling Your subscription through Your account settings
• Contacting Us to request account deletion

Termination by Us

We may terminate or suspend Your account immediately, without prior notice, if:

• You breach these Terms
• You engage in fraudulent or illegal activity
• You fail to pay applicable fees
• Continued provision of Service is not commercially viable

Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• All third-party integration connections will be revoked
• We may delete Your Content after 30 days (unless legally required to retain)
• Provisions that by their nature should survive termination will survive

Changes to These Terms

We reserve the right to modify these Terms at any time. When We do:

• We will post the updated Terms on this page
• We will update the "Last updated" date
• For material changes, We will notify You via email or prominent notice on the Service
• Your continued use of the Service after changes constitutes acceptance of the new Terms

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
